1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and Canopé regarding your use of our real estate rental advisory services and website. By engaging our services or using our website, you agree to be bound by these terms. If you do not agree, please do not use our services or website.

2. Definitions

For the purposes of these Terms:

• "Service" refers to the real estate rental advisory services provided by Canopé, including property identification, environmental profiling, lease consulting, and turnkey residence arrangements
• "Client" or "You" refers to the individual or entity engaging our services
• "We," "Us," or "Our" refers to Canopé
• "Agreement" means these Terms and Conditions together with any service-specific agreements
• "Website" refers to the Canopé website and related digital properties

3. Eligibility

You must be at least 18 years of age and possess the legal capacity to enter into binding contracts in Singapore to use our services. By engaging our services, you represent and warrant that you meet these requirements.

4. Service Description

Canopé provides professional advisory services related to residential property rental in Singapore. Our services include:

• Garden District Living Advisory: Property search focused on residences with connection to nature
• Family-Centred Lease Consulting: Comprehensive advisory for families relocating with children
• Seasonal Turnkey Residence: Full-service arrangement for furnished, move-in-ready residences

Services are provided on a professional advisory basis. We do not guarantee specific outcomes, property availability, or lease terms. Final rental arrangements are subject to negotiation with property owners and landlords.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information regarding your requirements, budget, and timeline
• Respond to communications and requests for information in a timely manner
• Attend scheduled property viewings or provide advance notice if unable to attend
• Conduct your own due diligence on properties of interest
• Review all lease documentation carefully before signing
• Pay service fees according to agreed terms
• Comply with all applicable laws and regulations
• Provide honest feedback to help us improve our services

6. Service Fees and Payment

Service fees are as follows:

• Garden District Living Advisory: SGD 260
• Family-Centred Lease Consulting: SGD 780
• Seasonal Turnkey Residence: SGD 1,950

Payment terms:

• Service fees are payable upon engagement of services
• Accepted payment methods include bank transfer, credit card, and PayNow
• All fees are stated in Singapore Dollars (SGD) and are inclusive of Goods and Services Tax (GST) where applicable
• Fees are non-refundable once services have commenced, except as provided in our cancellation policy

7. Cancellation and Refund Policy

Cancellation before service commencement: Full refund minus administrative fee of SGD 50

Cancellation after service commencement: No refund, as advisory work and resource allocation have been initiated. We reserve the right to terminate services if you fail to meet your responsibilities under this agreement, in which case no refund will be provided.

8. Intellectual Property

All content on our website, including text, graphics, logos, and images, is the property of Canopé or our licensors and is protected by copyright and trademark laws. You may not:

• Reproduce, distribute, or publicly display our content without written permission
• Use our brand name, logos, or trademarks without authorisation
• Modify or create derivative works based on our content

Property research, environmental profiles, and neighbourhood assessments prepared for you remain our intellectual property but may be used by you for the purpose of making informed rental decisions.

9. Disclaimers

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding:

• Availability or suitability of specific properties
• Success in securing particular lease terms
• Future property values or neighbourhood developments
• Specific outcomes from using our services

While we strive to provide accurate information, we do not guarantee the completeness or accuracy of all details. You are responsible for conducting your own due diligence and making independent decisions.

10. Limitation of Liability

To the fullest extent permitted by Singapore law, Canopé shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Property damage or personal injury not caused by our negligence
• Actions or omissions of third parties, including landlords and property managers

Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific service in question.

11. Indemnification

You agree to indemnify and hold harmless Canopé, its officers, advisors, and representatives from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your violation of any law or regulation, or your use of our services in a manner inconsistent with professional guidance provided.

12. Confidentiality

We maintain strict confidentiality regarding client information in accordance with our Privacy Policy and Singapore's Personal Data Protection Act. You agree to maintain confidentiality regarding any proprietary information or business practices disclosed to you during our engagement.

13. Termination

Either party may terminate this agreement:

• By mutual written consent
• If the other party breaches material terms and fails to remedy within 14 days of written notice
• Immediately in case of fraudulent conduct or violation of law

Upon termination, you remain responsible for fees for services rendered up to the termination date. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any dispute arising from these Terms or our services shall be:

• First subject to good-faith negotiation between the parties
• If unresolved after 30 days, submitted to mediation
• If mediation is unsuccessful, resolved through the courts of Singapore

15. General Provisions

Entire Agreement: These Terms, together with any service-specific agreements, constitute the entire agreement between you and Canopé regarding our services.

Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full effect.

Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

Assignment: You may not assign your rights under this agreement without our written consent. We may assign our rights to a successor entity in case of business transfer.

16. Changes to Terms

We may update these Terms periodically. Changes become effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated Terms. We recommend reviewing these Terms regularly.
